NOTICE OF CHANGE IN DISTRICT BOUNDARIES

On August 24, 2021, the Trico Board of Directors unanimously approved a Resolution changing the Director District boundaries in accordance with Trico’s bylaws.

Each District is represented by a Director and the boundaries determine who is eligible to be nominated and elected as a Director in the District. The change was made to maintain an equitable number of Members in each District, and account for growth that has occurred and is projected to occur in several Districts. In accordance with the bylaws, below is a copy of the Resolution. Above is a map showing the new District boundaries. Notice: The new District boundaries have been established for the purpose of nominating Directors and electing Directors at the next Annual Meeting on April 9, 2022. Each Member receiving electric service from Trico in more than one District shall, within thirty (30) days of this Notice, select the District in which such Member wishes to be deemed a Member and provide Trico with written notice of that selection. If no selection is received, Trico will assign such Member to a District. Selections may be sent to Trico at memberservices@trico.coop or 8600 W. Tangerine Rd., Marana, AZ 85658. If you have questions, please contact Trico at (520) 744‑2944. If you receive service in only one District, then you do not need to submit a selection.

Resolution:

WHEREAS, Trico’s bylaws (Article II, Section 4) provide that the “corporation shall be divided into seven (7) Director Districts each of which shall contain an equitable number of Members considering all relevant factors”; and  

WHEREAS, Trico’s bylaws (Article II, Section 4) provide that “(t)he boundaries of each of such Districts may be reduced, altered or enlarged from time to time by two-thirds (2/3) vote of all of the Members of the Board of Directors”; and  

WHEREAS, at the July 27, 2021 Meeting of the Board of Directors (Board) the Board considered a presentation from Staff including a proposed map (Map) depicting changes to the boundaries of the seven Director Districts of Trico designed to support the purpose of making the Districts more equitable based on current membership and projected growth; and  

WHEREAS, the Board reviewed and considered the presentation and Map from Staff, and has determined that altering the boundaries of the Director Districts in accordance with the Map presented by Staff will create equitable Districts based on the current membership and projected growth; and  

WHEREAS, Trico’s bylaws (Article II, Section 4) provide that “(a)ny such change in the boundaries of the Director Districts shall be made at least six (6) months prior to the next annual meeting of the Members and shall be set forth on the original map initially establishing Director Districts or another map which shall be attached to the resolution of the Board in which such change is made”; and  

WHEREAS, Trico’s next annual meeting is scheduled for April 9, 2022, more than six months from the date of this Resolution; and  

WHEREAS, the Board has determined that altering the boundaries of the Director Districts in accordance with the Map is in the best interest of Trico and its Members; and  

NOW, THEREFORE BE IT RESOLVED, that Board does hereby approve the alteration of Trico’s Director Districts in accordance with the Map (above); and  

BE IT FURTHER RESOLVED, that the Members shall be notified of the alteration of Trico’s Director Districts as depicted on the Map (above) in accordance with the bylaws:  

BE IT FURTHER RESOLVED, that the Board of Directors hereby approves and authorizes the CEO/General Manager to take such actions and provide such notices to the Members, as required by the bylaws, as necessary to implement this Resolution.
